Terms of Service

These Terms of Service ("Terms") govern access to and use of StagingFlow's software and related services (the "Service"). By creating an account, signing an order, or using the Service, you agree to these Terms on behalf of yourself and the business you represent ("Customer," "you"). If you do not agree, do not use the Service. The Service is offered to businesses in the United States.

1. The Service

StagingFlow provides tools for home staging businesses to capture leads, generate quotes and agreements, schedule jobs, track invoices and payments, and view reports. Features vary by plan. We may improve, change or discontinue features from time to time.

2. Accounts

You are responsible for the people you invite to your account, for keeping login credentials confidential, and for all activity under your account. Notify us promptly at info@stagingflow.app of any unauthorized use.

3. Your data

You own the data you and your users put into the Service, and the data the Service retrieves from integrations you connect ("Customer Data"). You grant StagingFlow permission to host, process and display Customer Data only as needed to provide and support the Service. You are responsible for having the rights and consents needed to provide Customer Data to us, including contact details of your clients. Our handling of information is described in our Privacy Policy.

4. Quotes, agreements and billing records

The Service calculates quotes, generates agreements and builds invoice schedules using the pricing rules, terms and data you provide. You are responsible for reviewing and approving quotes, agreements, invoices and amounts before relying on them or sending them to your clients. StagingFlow is not a party to agreements between you and your clients and does not provide legal, tax or accounting advice.

5. Integrations

The Service can connect to third-party services such as Intuit QuickBooks Online, Google and email providers. Your use of those services is governed by their own terms. When you connect an integration, you authorize StagingFlow to access the data needed for the features you use. You can disconnect an integration at any time. StagingFlow is not responsible for third-party services or their availability.

6. Acceptable use

You agree not to: use the Service for anything unlawful; send spam or unsolicited messages through it; attempt to access accounts or data that are not yours; interfere with or disrupt the Service; or copy, resell or reverse engineer the Service except as permitted by law.

7. Fees and payment

Paid plans are billed according to the plan or order you choose. Fees are due as stated at the time of purchase and are non-refundable except where required by law. Plans have no long-term contract unless an order says otherwise; you can cancel before your next billing period. You are responsible for applicable taxes. We may change prices with advance notice.

8. Availability and support

We work to keep the Service available and secure, and we back up data regularly, but the Service may occasionally be unavailable for maintenance or reasons outside our control.

9. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, STAGINGFLOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STAGINGFLOW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. STAGINGFLOW'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will defend and indemnify StagingFlow against claims arising from your Customer Data, your use of the Service in violation of these Terms, or your agreements with your clients.

12. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms or fail to pay fees. After termination, you may request an export of your Customer Data within 30 days, after which we may delete it as described in our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and change the effective date above. Continued use of the Service after changes take effect means you accept them.

14. Governing law

These Terms are governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in California.
